We advise on all employment-related aspects arising on acquisitions, including negotiating sales documents, drafting new employment contracts and associated agreements (non-compete, bonus structures etc) and supporting integration of acquired entity into pre-existing business. Our involvement will include due diligence, support and advice regarding the impact of deal structure on workforce and providing specific employment advice relating to deal-critical employees (such as retention and transaction bonus arrangements).
We provide support in respect of TUPE transfers ranging from providing reports for use at board level to day-to-day interaction with HR teams managing information and consultation processes. We have extensive experience in outsourcing, including a change in provider of large-scale shared services and a change complex outsourced of an FCA regulated service.
A large part of our team’s work relates to coordinating, reviewing and providing multi-jurisdictional employment advice. We are often instructed to be lead employment counsel and the primary client contact for transactions taking place with employees in many jurisdictions. We have strong working relationships with our counterparts in other jurisdictions and can quickly and effectively manage input on all aspects of a deal across many countries.
